These Terms govern your use of the website oneplanetfund.eu and your engagement with the consultancy services provided by VSM CAPITAL SGPS, S.A. in relation to residency by investment in Portugal (the ARI / Golden Visa pathway). VSM CAPITAL SGPS, S.A. does not provide investment services, immigration legal services, or tax advice, and is not regulated for those activities.

1. Acceptance

By using the website oneplanetfund.eu (“Website”) or engaging with our consultancy service, you (“Client”) confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, stop using the Website. We may update these Terms at any time; continued use after posting constitutes acceptance.

2. Our Service

2.1 What we provide

VSM CAPITAL SGPS, S.A. provides consultancy services relating to residency by investment in Portugal. Specifically, we:

  • Explain the Autorização de Residência para Investimento (ARI) programme — the Portuguese immigration framework that allows non-EU nationals to obtain a temporary residence permit through a qualifying investment
  • Provide information about Portugal as a destination — lifestyle, cost of living, safety, climate, and integration for expatriates
  • Assess, at a high level, whether the ARI pathway may be suitable for a client’s personal situation based on information the client provides
  • Explain the types of qualifying investments recognised under the ARI (including investment in CMVM-registered venture capital funds, cultural donations, and research funding), and the general requirements associated with each
  • Provide introductions, with the client’s consent, to regulated professionals who can deliver legally binding services: fund managers, licensed Portuguese immigration lawyers, and qualified tax advisors
  • Support clients in understanding the process and timeline involved in an ARI application, from initial investment to residency card issuance and renewal

2.2 What we do not provide

Our consultancy service explicitly does not include:

  • Investment advice or portfolio management — we do not recommend, manage, or act as intermediary for any financial product or instrument
  • Immigration legal services — we do not draft, file, or sign any document on behalf of a client with AIMA or any other public authority
  • Tax advice — we do not provide guidance on a client’s specific tax position in Portugal, the US, or any other jurisdiction
  • Legal representation — we are not a law firm and do not act as legal representative in any proceedings

Clients requiring investment management, immigration legal representation, or tax advice must engage separately with appropriately regulated and licensed professionals. We are pleased to facilitate introductions upon request.

2.3 Free initial consultation

We offer a free 30-minute initial consultation to help prospective clients understand the ARI pathway and assess high-level eligibility. This consultation is informational only and does not create a contractual engagement for regulated services. Detailed and ongoing consultancy may be subject to a separate fee agreement.

3. The ARI — Key Facts

The following is general factual information about the ARI programme, accurate at the date of publication. Rules are subject to legislative change and must always be verified with a qualified Portuguese immigration lawyer before any application is made.

  • The ARI is a Portuguese immigration permit allowing non-EU nationals who make a qualifying investment in Portugal to obtain temporary residency, without a requirement to relocate.
  • One qualifying route is investment of €500,000 or more in one or more CMVM-registered venture capital or private equity funds. This threshold may be split across multiple qualifying funds.
  • The minimum physical presence requirement is 7 days per year in Portugal during each two-year renewal period, as set by applicable law at the date of this document.
  • After 5 years of legal residency, the ARI holder may apply for permanent residency. After 10 years (7 years for EU/CPLP nationals), they may apply for Portuguese citizenship, subject to the Nationality Law as amended in May 2026 and all statutory conditions in force at the time of application — including a Portuguese language test at A2 level.
  • An ARI does not guarantee Portuguese citizenship. All applications are assessed on their individual merits by AIMA — Agência para a Integração, Migrações e Asilo.
  • Tax consequences for ARI holders vary significantly by nationality and individual circumstances. US nationals in particular face specific reporting obligations. Independent tax advice is essential before any application.

4. Client Responsibilities

By engaging with our consultancy service, you confirm that:

  • You are an adult (18 years of age or older)
  • The information you provide to us is accurate and complete to the best of your knowledge
  • You understand that our consultancy is not a substitute for regulated legal, investment, or tax advice
  • Any decision to invest in a qualifying fund, apply for an ARI, or restructure your tax affairs will be made independently and on the basis of advice from appropriately regulated professionals
  • You will not use information provided by us to circumvent any law or regulation applicable to you

5. Fees

The initial 30-minute consultation is provided free of charge. Any ongoing consultancy engagement is subject to a written fee agreement signed by both parties before work commences. Fees, payment terms, and cancellation conditions will be set out in that agreement. In the absence of a signed fee agreement, no charge shall be made for any service.

6. Referrals to Regulated Professionals

Where a client wishes to proceed with an ARI application or an investment in a qualifying fund, VSM CAPITAL SGPS, S.A. may, with the client’s explicit consent, introduce them to:

  • The fund manager of One Planet Fund — Fundo de Capital de Risco Fechado (CMVM registration number 1948), currently managed by LCV [CONFIRM: full name], with management expected to transfer to Plural Holdings LLC or its designated regulated affiliate from August 2026, subject to CMVM approval
  • Licensed Portuguese immigration lawyers for ARI application support
  • Qualified tax advisors for Portuguese and international tax planning

Referrals are made in good faith based on our knowledge of the market. VSM CAPITAL SGPS, S.A. does not warrant the performance or suitability of any professional introduced, and is not responsible for the advice or services they provide. Each professional operates under their own engagement terms and regulatory framework. Any fee arrangements with those professionals are separate from and unrelated to our own.

7. No Guarantees

VSM CAPITAL SGPS, S.A. makes no guarantee regarding:

  • The outcome of any ARI application — approval is at the sole discretion of AIMA
  • The returns generated by any qualifying investment — investment capital is at risk
  • The future availability or terms of the ARI programme — legislation may change
  • The tax treatment of any investment or residency status — this depends on individual circumstances and applicable law

All information provided by VSM CAPITAL SGPS, S.A. is provided in good faith and to the best of our knowledge at the time of delivery. It should be independently verified before being relied upon.

8. Intellectual Property

All content on the Website — including text, graphics, logos, and the One Planet Fund name — is owned by or licensed to VSM CAPITAL SGPS, S.A. or the respective rights holders. No content may be reproduced without our prior written consent, except as permitted by law.

9. Limitation of Liability

To the fullest extent permitted by Portuguese law: (a) VSM CAPITAL SGPS, S.A. is not liable for any loss arising from reliance on information provided through our consultancy or Website, including any investment loss, failed ARI application, or adverse tax consequence; (b) our total liability to any client in connection with our consultancy service, if any, shall not exceed the total fees paid by that client in the 12 months preceding the event giving rise to the claim; (c) nothing herein excludes liability for fraud or for any matter that cannot be limited by law.

10. Governing Law and Jurisdiction

These Terms are governed by Portuguese law and applicable EU law. Any dispute shall be subject to the exclusive jurisdiction of the courts of Lisboa, Portugal, without prejudice to mandatory consumer protection rights applicable in your country of residence.
